Clear terms. No surprises.
These Terms govern access to and use of the See Me Please Portal by any individual acting on behalf of a Customer (“you” or “your”). The Portal is operated by See Me Please Innovations Pty Ltd on behalf of the See Me Please Group (“See Me Please”). Your organisation’s contractual relationship is with the relevant Contracting Entity and your use of and access to the Portal is on and subject to the terms of that relationship as well as to your compliance with these Terms unless otherwise agreed in writing between the parties.
By clicking “I agree”, you confirm that you have read, understood, and accepted these Terms.
See Me Please operates a digital platform designed to support Customers in improving the usability of their services through insights and feedback from diverse and disabled User Testers.
(a) These Terms govern access to and use of the See Me Please Portal by individuals acting on behalf of Customers.
(b) For the avoidance of doubt, these Terms apply regardless of the Customer’s location, including Australia, the United Kingdom, Europe, the United States or any other region in which the See Me Please Group operates.
You must:
at all times comply with these Terms;
not disclose, copy, modify distribute, or otherwise make available any insights or other information provided by See Me Please in the course of providing the Services or the Deliverables except as in accordance with these Terms or as otherwise established by access controls or permissions set by See Me Please;
not use any Deliverables or information for purposes other than as expressly permitted by See Me Please;
not use insights derived from User Testing to create, apply, or implement any practice, policy, or decision that results in discrimination, exclusion, or bias against User Testers or any group represented by them;
not Extract the Deliverables, insights, or any other data provided by See Me Please without the prior written consent of See Me Please; and
ensure that all information provided to See Me Please is up to date at all times.
Confidential Information means any information, in any form, disclosed by See Me Please to you that:
is identified as confidential at the time of disclosure;
a reasonable person in your position would understand to be confidential or commercially sensitive; or
relates to See Me Please’s business operations, services, products, intellectual property, systems, processes, technologies, strategies, financial information, personnel, customers, suppliers, or other affairs, whether disclosed verbally, in writing, electronically, or in any other form.
For the avoidance of doubt, Confidential Information includes:
testing methodologies;
research results;
the Deliverables; and
personal information of User Testers.
You agree to:
maintain confidentiality all Confidential Information disclosed or otherwise made available to you in the course of your access to the Portal;
not discuss Confidential Information in public or with third parties; and
use Confidential Information solely where necessary to enable the Customer to obtain the benefit of the Services.
You must not publish, post, or otherwise disclose any Confidential Information or Deliverables on public platforms, including social media, websites, or external communications, without the prior written consent of See Me Please, such consent may be withheld at the absolute and sole discretion of See Me Please.
You may only share Confidential Information with authorised internal personnel of the Customer and only for the purpose for which it has been provided to you.
Notwithstanding anything to the contrary in this clause, you may disclose Confidential Information:
with the consent of See Me Please;
where required by law; or
to professional advisors under professional obligations of confidence,
provided that you notify us prior to any such disclosure and provide us with a reasonable opportunity to object to such disclosure before doing so.
You acknowledge that you have read and understood our Privacy Policy:

This clause 3 survives expiry or termination of this Agreement.
All Intellectual Property rights in the Deliverables produced by See Me Please in connection with the Services as displayed on the See Me Please Portal are and remain the exclusive property of the See Me Please Group unless otherwise agreed in writing between See Me Please and the Customer.
All Intellectual Property in the See Me Please Portal, including its design, interface, embedded tools, and visualisations, remains the exclusive property of the See Me Please Group.
See Me Please grants the Customer a non-exclusive, non-transferrable, revocable licence to use the Deliverables internally for the purposes of:
improving accessibility;
improving digital experience;
improving inclusive service delivery;
informing internal decision-making and service design; and
identifying usability and accessibility friction points
(collectively, the Express Purpose).
You acknowledge and agree that you are an agent of the Customer and may only use the Deliverables to assist the Customer to achieve the Express Purpose and for no other purpose.
For the avoidance of doubt, you must not:
reproduce, redistribute, or disclose the Deliverables to any third party or other party who does not have a written agreement with See Me Please, without the prior written consent of See Me Please;
publish, post, or otherwise disclose the Deliverables or related insights on public platforms, including social media, websites, or external communications, without the prior written consent of See Me Please;
use the Deliverables for any purpose other than the Express Purpose;
use the Deliverables for any commercial, regulatory, disciplinary, legal, enforcement, or public-facing purpose unless expressly authorised in writing by See Me Please;
modify or create derivative works based on the Deliverables, except to the extent necessary for internal implementation of recommendations; or
use insights, data, or Deliverables to build, develop, or enhance any competing product, service, research offering, or solution;
use See Me Please materials (including any Deliverables, insights, dashboards, or design elements) to develop, improve, or augment any product, service, or solution, whether offered by you or another organisation, that See Me Please considers to be in competition with it;
use insights, footage, or Deliverables as evidence, whether in connection with disputes, disciplinary proceedings, audits, risk reporting, compliance, or regulatory submissions;
include Deliverables or insights in tender responses, Ministerial briefings, Cabinet documents, ombudsman or regulatory submissions, or similar external communications;
ingest transcripts or other Deliverables into language models or otherwise build language models, analytics, or programs based on the same;
use the Deliverables for any purpose that includes model training, tuning, evaluation, or dataset creation;
subcontract, share, or incorporate SMP insights into other projects, or provide Deliverables to digital agencies, vendors, or contractors; or
permit, aid, encourage, allow, or otherwise facilitate any third party to engage in conduct described in the above clauses (a) to (m).
This clause 4 survives expiry or termination of this Agreement.
We may suspend or terminate your access to the Portal at any time, with or without notice, if you:
breach these Terms or misuse the Portal;
the Customer’s agreement with See Me Please ends or is suspended; or
we reasonably determine that your access poses a risk to the security, integrity, or operation of the Portal.
Upon termination you must immediately cease using the Portal and permanently delete any Deliverables or other materials obtained through it, unless otherwise agreed in writing.
Your access to the Portal is provided for and on behalf of the Customer.
You must not misuse the Portal or act in any way that causes loss or liability to See Me Please.
Any liability or risk arising from your use of the Portal is the responsibility of the Customer. See Me Please will not be liable for any indirect or consequential loss.
The Customer must:
ensure that login credentials for the See Me Please Portal are not shared beyond reasonably required within the organisation accessing the Deliverables;
ensure that any device accessing See Me Please Portal is secure, regularly patched, and free from compromise, malware, or unauthorised software;
promptly notify See Me Please of any suspected or actual unauthorised access, credential compromise, or security incident relating to See Me Please Portal; and
recognise that See Me Please reserves the right to require multi-factor authentication, enforce additional security measures, or revoke access where security risks are identified.
The Customer must not engage in any conduct that mocks, disparages, or mischaracterises User Testers, either directly or indirectly.
The Customer must treat the lived experiences, perspectives, and contributions of User Testers with respect and sensitivity at all times; and
The Customer must ensure that insights derived from User Testing are used in a manner that acknowledges and values the unique experiences of User Testers, without trivialising, distorting, or misrepresenting their input.
For the avoidance of doubt, you must not:
attempt to identify or re-identify User Testers;
contact, seek out, or otherwise engage or attempt to engage with User Testers;
use recordings or AI tools to analyse or distinguish individuals; or
evaluate the performance of User Testers.
These Terms will apply in full force and effect during any period in which you have access to the Portal, whether continuous or intermittent. Your access may be suspended or revoked at any time in accordance with these Terms or the Customer’s agreement with See Me Please.
We may update these Terms from time to time at our sole discretion. The most recent version of the Terms is available on our website.
These Terms are governed by the laws of New South Wales, Australia.
If any provision of these Terms is found to be unlawful or invalid, that provision shall be severed and the remainder of these Terms shall continue in full force and effect.
These Terms constitute the entire agreement between you and See Me Please.
See Me Please is proud to work with our customers in a collaborative and mutually respectful way. For clarity, nothing in these Terms shall be construed to create a, joint venture, agency, employment, or other legal relationship between See Me Please and you. Each party remains independent and responsible for its own conduct. No individual accessing the Portal may bind See Me Please or incur obligations on its behalf.
Agreement or Terms means these terms and conditions, including any annexures, schedules, or written, or as otherwise varied from time to time.
Customer means the organisation who has engaged See Me Please to carry out the Services and on whose behalf you are accessing the Portal.
Confidential Information has the meaning given by clause 3.1 of these Terms.
Contracting Entity means the member of the See Me Please Group responsible for providing the Services to the Customer.
Deliverables means such deliverables as agreed between See Me Please and the Customer in the Quote and otherwise as produced by See Me Please in connection with the Services.
Extract means any act of obtaining, capturing, or reproducing Deliverables or insights, whether in whole or in part, including but not limited to:
downloading files or data;
taking screenshots or photographs;
making screen recordings or video captures;
copying text, charts, heatmaps, or other content from dashboards;
scraping or automated extraction using browser extensions, developer tools, or similar technologies;
exporting datasets or underlying structures through any interface or integration; and
reproducing or reverse engineering the design, layout, or functionality of the See Me Please platform, dashboards or Deliverables.
Intellectual Property Rights means any current or future trade mark, design, or patent (whether registered or unregistered), copyright, trade secrets, confidential information, know-how, business or company names, and any rights to register such rights;
Quote means the document issued by the Contracting Entity to the Customer setting out the agreed scope of services, deliverables fees, and any other specific terms negotiated between the parties applicable to the engagement.

See Me Please Limited UK Co. No. 15736988;
See Me Please Holdings Pty Ltd ACN 688 555 348;
See Me Please Investments Pty Ltd ACN 688 616 239;
See Me Please Innovations Pty Ltd ACN 689 106 670;
any present or future entity that controls, is controlled by, or is under common control with any of the foregoing (including successors and permitted assignees), together with any of them trading as “See Me Please” or another lawful trading name.
See Me Please Portal or Portal means the secure portal through which the Deliverables are accessed.
Services means the services performed by See Me Please as set out in the applicable Quote or as otherwise agreed between See Me Please and the Customer.
User Tester means individuals engaged by See Me Please to conduct user testing, such individuals representing the span of See Me Please diverse and disabled participant cohorts.
The following rules apply in interpreting these Terms, unless context requires otherwise:
headings are for convenience only, and do not affect interpretation;
a singular word includes the plural, and vice versa;
if a word or phrase is defined, then any other grammatical form of that word or phrase has a corresponding meaning;
if an example is given of anything, such as by saying “including”, then the example does not limit the scope of that thing;
a reference to information includes information of any kind in any form or medium, whether formal or informal, written or unwritten;
in the interpretation of these Terms, no rule of construction applies to the disadvantage of us on the basis that we put forward or drafted these Terms.
